Conclusion of the Contract

Registration for a course or event of SAPOORI GmbH does not constitute a binding contract. A binding contract is only concluded when SAPOORI GmbH confirms the registration in writing via email or by means of an order confirmation. This also applies to telephone or verbal inquiries.
For bookings through third-party providers or online platforms, the contract conclusion occurs in accordance with the processes laid out there – but at the latest upon receipt of the written booking confirmation from SAPOORI GmbH.
By concluding the contract, the participant acknowledges these general terms and conditions as well as the applicable payment and cancellation policies.
11.1 No Right of Withdrawal according to § 312g Abs. 2 No. 9 BGB
All courses and events of SAPOORI GmbH involve services in the field of leisure activities with a specific date or timeframe.
Therefore, according to § 312g Abs. 2 No. 9 BGB, there is no statutory right of withdrawal, even for online bookings or contract conclusions outside of business premises.
A return or withdrawal of the booking is therefore legally excluded. Rebookings or goodwill regulations are only possible on a voluntary basis according to the provisions of these terms and conditions.
This exclusion does not limit consumer protection but arises directly from the law.

Important notice according to Article 103 of the Spanish Consumer Protection Law (RDL 1/2007): Our courses and events are services in the area of leisure activities with a specific date or timeframe. Therefore, according to Art. 103 lit. l) RDL1/2007, there is no statutory right of withdrawal, even for online bookings or contract conclusions outside of business premises.
The customer is hereby expressly informed of the exclusion of the right of withdrawal before concluding the contract.
By concluding the contract, the participant acknowledges these general terms and conditions as well as the applicable payment and cancellation policies.
2. Scope of Services

The scope of services is defined by the description valid at the time of booking on the website of SAPOORI GmbH, from individually prepared offers, or from a written order confirmation.
SAPOORI GmbH reserves the right to make content or organizational adjustments to the course's structure, order, or format if necessary, as long as the overall character and aim of the event are not substantially impaired.
Such changes do not entitle to a reduction in price, termination of the contract, or reimbursement. Side agreements, supplements, or deviations from these terms and conditions require textual form (e.g. email) to be effective. Verbal side agreements are excluded.
🇪🇸 SAPOORI Cala D’or S.L. – Spain (Spanish Law)

SAPOORI Cala D’or S.L. offers events, courses, and services in the field of leisure activities – particularly cooking classes, team events, mobile operations, as well as individual event formats.
The exact scope of services is defined by the information provided to the customer prior to the conclusion of the contract via the website, booking systems, or through a written offer.
SAPOORI Cala D’or S.L. reserves the right to make minor content or organizational changes, particularly when these become necessary due to seasonal circumstances, supply bottlenecks, or other objectively justified reasons.
Such changes do not constitute a breach of contract as long as they do not substantially impair the character of the event and are reasonable for the customer.
The customer acknowledges that recipes, ingredients, decoration, or individual processes may be slightly adjusted, without giving rise to a claim for a reduction in price, withdrawal, or replacement service.
3. Age of Participation, Supervisory Duty, and Youth Protection

Participation in courses and events of SAPOORI GmbH is generally only permitted from the completion of the 18th year of life.
Participation of minors is only possible in expressly designated course formats (e.g. children's birthdays) or with prior written consent from SAPOORI GmbH.
In these cases the following applies:
• A fully completed and signed form (“Muttizettel”) must be submitted in original at the beginning of the course.
• Additionally, an adult supervisor (at least 21 years old) is strictly required.
• Without submitting the form, participation is only permissible for non-alcoholic contents (e.g. non-alcoholic cocktails).
For courses with an alcoholic focus, it is solely the responsibility of the booker to ensure timely consents and appropriate supervision. A sample form can be downloaded here: 👉 https://muttizettel.net
SAPOORI GmbH reserves the right to exclude participants without complete documents or suitable supervision from the course or restrict their participation to non-alcoholic contents. In such cases, there is no claim for a refund of the course fee.
Note: The sale and tasting of alcoholic beverages to those under 18 years of age is legally prohibited (§ 9 JuSchG).
🇪🇸 SAPOORI Cala D’or S.L. – Spain (Spanish Law)

Participation in events by SAPOORI Cala D’or S.L. is fundamentally reserved for persons aged 18 and older. Minors aged 14 and older can only participate with written consent from their legal guardians.
For minor participants, accompaniment by an adult responsible supervisor is mandatory, who takes full responsibility during the entire event. SAPOORI Cala D’or S.L. assumes no supervisory duties.
Alcoholic beverages will only be served to persons over 18 years of age. A corresponding proof of age may be requested on site. SAPOORI Cala D’or S.L. reserves the right to refuse service in case of doubt or lack of proof.
These regulations correspond to the applicable youth protection provisions in the Balearic Islands (e.g. Ley 5/2018).
4. Alcohol Distribution and Participation Ability

Participation in events with alcoholic beverages is only permitted for persons aged 18 and over.
SAPOORI GmbH reserves the right to request a valid proof of age (e.g., ID card) at any time.
Participants must be able to contribute actively, safely, and responsibly during the event at all times. Persons who stand out due to excessive alcohol consumption or are no longer deemed fit to participate by expert staff (e.g., aggressive, unfit to drive, clearly impaired) will only receive non-alcoholic beverages.
In serious cases (e.g., endangering other participants or the course of the event), SAPOORI GmbH reserves the right to exclude participants completely or partially from the event.
In such cases, there is no claim for a refund, replacement service, or make-up.
🇪🇸 SAPOORI Cala D’or S.L. – Spain (Spanish Law)

The service and consumption of alcoholic beverages is only permitted for persons over 18 years of age. A corresponding proof of age may be requested at any time. SAPOORI Cala D’or S.L. is entitled to refuse service if there is any doubt about the age or if misuse is expected.
Participation in events under the influence of alcohol, drug use, or other impairments is prohibited. SAPOORI Cala D’or S.L. explicitly reserves the right to exclude individuals who are in a non-participatory state or whose behavior endangers or disturbs others from the event.
In such a case, there is no claim for a refund or replacement service.
These regulations are based on the applicable youth protection and safety regulations in the Balearic Islands (e.g. Ley 5/2018).
5. Payment Terms and Event Fees

The event fee is based on the number of participants agreed upon or reported at the time of booking.
5.1 Corporate Customers:
The final number of participants must be communicated in writing at least 15 calendar days before the start of the event.
5.2 Private Customers (e.g. birthdays, JGAs):
The final number of participants must be communicated in writing at least 3 calendar days before the start of the event. If no timely notification is made, the last known number of participants is considered binding. Changes reported after the deadlines cannot be taken into account and do not lead to a reduction in the fee.
5.3 Invoicing & Payment
After the communication of the participant number, SAPOORI GmbH will issue an invoice. This must be paid in full by the day of the event at the latest.
If payment is not made on time, SAPOORI GmbH reserves the right to
• refuse or cancel the event,
• regard the booking as a cancellation by the customer (→ cancellation conditions according to point 6).
In this case, there is no claim to performance or refund.
5.4 Payment Methods
Cash payment is only possible with prior written confirmation by SAPOORI GmbH. In this case, no advance payment is required; payment is made on site at the latest before the start of the event.
For agreed installment payments, the first installment is due immediately after invoicing. Further installments are set in writing. The customer agrees to the direct debit of the amounts.
5.5 Payment Delay & Reminder
In the event of payment delays, SAPOORI GmbH is entitled to
• impose reminder fees,
• withdraw from the contract,
• and charge default costs or flat-rate damages.
🇪🇸 SAPOORI Cala D’or S.L. – Spain (Spanish Law)

The currently applicable event fees can be found on the website, in the written offer, or the booking platform. All prices include the applicable statutory Spanish VAT (IVA). The entire payment is to be made by the day of the event at the latest. Payment can be made by invoice, payment link, PayPal, or – only in justified exceptional cases and with the explicit consent of SAPOORI Cala D’or S.L. – in cash on site.
SAPOORI Cala D’or S.L. reserves the right to exclude participants from the event if payment is not received. In this case, there is no claim to participation or reimbursement.
The invoice will be issued electronically and sent to the email address provided by the customer. A printed version can be handed over on site upon request.
Upon receipt of payment, the T&Cs and participation agreements are deemed accepted.
6. Cancellation, Rebooking, and Replacement Participation

6.1 Cancellation by the Customer
A cancellation of participation is possible at any time before the start of the event but must be done in text form (e.g., via email).
The contract is deemed binding from the moment the written booking confirmation or invoice from SAPOORI GmbH is received – irrespective of whether payment has already been made.
The following cancellation fees apply:

If the invoice is not paid on time, this is also deemed as a cancellation by the customer and the above deadlines apply accordingly.
6.2 Replacement Participation
The customer can designate a replacement at any time, provided that this person meets the participation requirements. In this case, the cancellation fee is waived entirely.
6.3 Rebooking
A rebooking to another event date is generally possible, but requires the consent of SAPOORI GmbH and must be in text form. For each rebooking, a flat fee of 25% of the originally agreed event fee will be charged.
There is no legal claim to a rebooking.
6.4 Special Regulation for Corporate Events from November 1 – December 31
Due to high demand and exclusive appointment allocation, the following special conditions apply during this period:
• A cancellation is fundamentally excluded, as the appointments are exclusively reserved.
• A rebooking is only possible depending on availability and a rebooking fee of 25% applies in any case.
• A cancellation is only possible in case of a demonstrable hardship, such as:
◦ Insolvency of the booking company
◦ Unforeseeable events of force majeure (e.g., fire, official closure)
◦ Death or serious emergency of management
Illness of employees, internal restructuring, or personnel shortages do not qualify as hardship.

A refund of already paid course or event fees is generally excluded unless the cancellation or non-participation is attributable to SAPOORI GmbH.
7.1 Goodwill Regulation in Important Cases
If participation is not possible for important, understandable reasons, SAPOORI GmbH will examine alternative solutions in individual cases, e.g.:
• Rebooking to another date (if available) → rebooking fee according to point 6: 25%
• Issuance of a value voucher for the amount paid for later redemption
• Offset against another service of SAPOORI GmbH
The implementation of these alternatives occurs solely on a voluntary basis and is at the sole discretion of SAPOORI GmbH.
No claim for a refund exists even if a reasonable substitute offer (e.g. voucher or new date) is declined by the customer.
In this case, the paid event fee is considered forfeited.

The planning and duration of the courses are based on a predefined group size. If this group size is not reached (e.g., due to last-minute cancellations), SAPOORI GmbH reserves the right to reasonably adjust the course duration or content, without fundamentally changing the course content.
A shorter course duration due to a reduced number of participants does not constitute a defect and does not entitle to a price reduction or cancellation.
For many courses, there is a minimum number of participants of 6 people.
8.2 Date Rescheduling by SAPOORI
If the minimum number of participants is not reached, SAPOORI GmbH reserves the right to reschedule the course to an alternative date.
In this case, the customer is offered either:
• a replacement date or
• a value voucher for the amount paid
A refund of the course fee is excluded.
8.3 Replacement Person and Rebooking
The customer can designate a replacement person at any time, provided that this person meets the participation requirements. In this case, the rebooking fee is waived entirely.
8.4 Exclusion of Further Claims
Any incurred additional costs (e.g., travel, accommodation, loss of earnings) will not be reimbursed.
A rescheduling by SAPOORI GmbH for organizational reasons does not entitle the customer to withdraw, provided the new date is reasonable.
8.5 Illness-related Date Rescheduling by SAPOORI
If an event or course cannot take place as planned due to the illness of employees, course leaders, or for other personnel-related or organizational reasons, SAPOORI GmbH reserves the right to offer a replacement date.
No claim for a refund of the event fee exists if a reasonable replacement date is offered.
This regulation applies regardless of the payment status of the booking,
including events or courses,
that have already been paid for,
for which payment was to be made on-site, or
that had not yet been paid at the time of date rescheduling,
👉 provided the booking was confirmed in advance and the date was planned.
The agreed participation fee remains in full effect in these cases.

for which payment was to be made on-site, or

9. Vouchers

9.1 Acquisition and Validity
Value vouchers for courses and events of SAPOORI GmbH can be purchased through the website or directly on-site.
Vouchers are valid for 1 year from the purchase date. An extension of the validity beyond the expiration date is excluded.
It is crucial that the redemption occurs by the last day of validity. The booked event may also take place after the expiration date – however, the booking must be made in a timely manner.
9.2 Redemption
Vouchers can only be redeemed at the location indicated on the voucher or through the website mentioned there (e.g., www.sapoori.com or www.oliviero-barschule.com – see voucher details).
Participation in events with a voucher requires timely online booking. Spontaneous participation on-site without prior registration is excluded. Partial redemption of a voucher value is not possible. Vouchers apply to one service or category in the specified value range.
If a voucher is redeemed for an offer that exceeds the voucher value, the customer must cover the difference.
9.3 Exclusion of Refund
A refund of the voucher value is excluded in any form (e.g., transfer, cash payment, PayPal), even in the case of cancellation of a booked event.
In this case, the respective amount will be credited back to the original voucher. No interest will be charged.
The voucher value will not be printed on the voucher for data protection reasons but will be considered internally upon redemption.
9.4 Transferability
Vouchers are transferable. SAPOORI GmbH is entitled to perform with liberating effect to the respective holder, provided there is no knowledge of an unauthorized redemption.
9.5 Price Changes
If the price of the booked service changes between the purchase of the voucher and its redemption, the customer may be liable for the price difference.
SAPOORI GmbH assumes no responsibility if a coupon with too low value was issued at the time of purchase.

The events of SAPOORI GmbH usually take place in company-owned premises (e.g., the “Oliviero Barschule by SAPOORI”) or at rented event venues.
The exact information about the event location and time will be provided to the customer with the booking confirmation or through individual agreement.
10.2 Events at the Customer's Location
Alternatively, courses or events may also be held at the customer's location (e.g., in company premises or private locations). In this case, the responsibility for:
• the suitability of the venue (size, equipment, hygiene)
• a functioning power supply
• if applicable, access to water, sanitary facilities
• a safe environment (e.g., no hazards)
lies exclusively with the customer.
SAPOORI GmbH assumes no liability for damages, failures, or impairments that are due to the nature, organization, or equipment of the customer's premises.
10.3 Change of Event Location
SAPOORI GmbH reserves the right to change the event location at short notice for organizational or technical reasons, provided that the new location is reasonable for the customer.
In such cases, there is no claim for withdrawal, refund, or damages.

10.1 Event Locations of SAPOORI Cala D’or S.L.

Alternatively, courses or events may also be held at the customer's location (e.g., in company premises or private locations).

• a functioning power supply
• if applicable, access to water, sanitary facilities
• a safe environment (e.g., no hazards)
lies exclusively with the customer.
SAPOORI Cala D’or S.L. assumes no liability for damages, failures, or impairments that are due to the nature, organization, or equipment of the customer's premises.
10.3 Change of Event Location
SAPOORI Cala D’or S.L. reserves the right to change the event location at short notice for organizational or technical reasons, provided that the new location is reasonable for the customer.
In such cases, there is no claim for withdrawal, refund, or damages.
11. Liability

11.1 Participation at One's Own Risk
Participation in courses and events of SAPOORI GmbH is fundamentally at one's own risk.
SAPOORI GmbH assumes no liability for damages, losses, or theft of items brought by participants, clothing, or vehicles unless these are attributable to intentional or grossly negligent behavior by SAPOORI or their agents.
11.2 Limitation of Liability
SAPOORI GmbH is only liable for simple negligence in the breach of essential contractual obligations (cardinal obligations) and only for typically foreseeable damages.
The statutory liability for violations of life, body, or health remains unaffected.
No liability exists for indirect damages, consequential damages, or damages resulting from incorrect application of course content (e.g., recipes, techniques).
11.3 Events at the Customer's Location
In events held in the customer’s premises (e.g., company or private premises), the responsibility for a safe environment lies entirely with the customer.
SAPOORI GmbH assumes no liability for damages or failures due to insufficient facilities, hazardous conditions, or organizational deficiencies on-site.
11.4 Behavior of Participants

11.2 Limitation of Liability
SAPOORI Cala D’or S.L. is only liable for simple negligence in the breach of essential contractual obligations (cardinal obligations) and only for typically foreseeable damages.
The statutory liability for violations of life, body, or health remains unaffected.
No liability exists for indirect damages, consequential damages, or damages resulting from incorrect application of course content (e.g., recipes, techniques).
11.3 Events at the Customer's Location
In events held in the customer’s premises (e.g., company or private premises), the responsibility for a safe environment lies entirely with the customer.
SAPOORI Cala D’or S.L. assumes no liability for damages or failures due to insufficient facilities, hazardous conditions, or organizational deficiencies on-site.
11.4 Behavior of Participants

12.2 Own Recordings by Participants
Participants may take their own photos or short videos during the event and publish them privately or on social media, provided that no protected content (e.g., recipes, internal processes, training materials) is visible or recognizable.
SAPOORI GmbH reserves the right to have content removed if it shows protected information or company internals.
12.3 Recordings by SAPOORI (Marketing & Documentation Purposes)
SAPOORI GmbH reserves the right to make photo and video recordings during all event formats – whether at events on-site, online, or mobile at the customer’s location.
These recordings may be used for documentation and public relations purposes, for example on the website, social media channels, or in printed materials (flyers, brochures).
Before the event starts, there will be a clear indication of the recordings.
Participants who do not wish to appear in recordings can expressly object on-site or in the online event. If no objection is made, this is considered as consent to the use in the mentioned context.
A subsequent revocation is only possible in justified exceptional cases, where the protectable interests of the affected person outweigh.
Photographers or videographers commissioned by SAPOORI act on behalf of the company. The same data protection and consent rules apply.

Participants are responsible for fulfilling the technical requirements (e.g. stable internet connection, compatible device, camera/microphone).
No refunds are possible for technical issues on the customer’s side.
16.2 Access Data and Usage Rights
The access data for online courses are personalized and may not be shared with third parties.
Participation is exclusively reserved for the booked and paid person. It is not permitted to allow multiple persons or groups to participate in the event under one booking.
In the event of violations of these regulations (e.g., multiple use or sharing of access data), SAPOORI GmbH reserves the right to exclude participants from the course without refund.
16.3 Content and Copyright
All provided content (e.g., recipes, videos, documents, presentations, course processes) are protected by copyright and may only be used for private personal use.
Duplication, publication, dissemination or commercial use of the content is expressly prohibited.
Also recordings or captures of the course (e.g., via screen recording) are prohibited.
Participants may take their own photos or short clips for private purposes or for publication on social media as long as no protected content is visible.

16.4 Date Rescheduling and Minimum Number of Participants
If an online course does not reach the minimum number of participants required for execution, SAPOORI GmbH reserves the right to postpone the course or replace it with equivalent offerings.
In such cases, a replacement date or alternative format will be offered. No claims for a refund exist if the alternative offering is reasonable.

Event locations that are not at ground level or not accessible without barriers (e.g., no elevator on upper floors) must be communicated to SAPOORI GmbH in writing at least 7 calendar days prior to the event.
17.2 Consequences of Missing Requirements
If necessary information is not communicated on time or if unreasonable logistical conditions arise, SAPOORI GmbH reserves the right to conduct the event:
• either at an additional cost (e.g., additional personnel or transport effort),
• or cancel on-site if conducting the event is economically or organizationally unsustainable.
In such cases, there is no claim for a refund, but a replacement date will be offered.
17.3 Responsibility for Guests & Compliance with Laws
The responsibility for the behavior of the guests as well as the compliance with legal requirements (e.g., youth protection, alcohol distribution) lies with the customer as the organizer. The general regulations of these terms and conditions – particularly regarding alcohol distribution, behavior, photos/videos, and liability – also apply to mobile events.
17.4 Cleanup and Waste
Any waste, empties, packaging materials, or decoration following the event will remain at the event location unless otherwise agreed in writing.
SAPOORI GmbH is not obliged to dispose of or transport this. An additional fee may be charged for any extra disposal.
17.5 Travel Cost Regulation
No travel costs are incurred for events within a radius of 25 kilometers from the respective SAPOORI location.
For event locations outside this radius, travel costs of €0.39 per driven kilometer (round trip) will be charged.
The location from which the event is administratively supervised (e.g., Frankfurt, Berlin, or Mallorca) is decisive. This will be communicated to the customer in the offer or before the contract is concluded.

These regulations are not part of these T&Cs but will be individually listed in the offer or order confirmation if relevant and will apply bindingly.
The responsibility for informing and complying with local regulations rests with the customer unless a different written agreement with SAPOORI Cala D’or S.L. was made in advance.
18. Notices on Allergies and Intolerances

19.2 Written Form & Communication
All binding agreements between the customer and SAPOORI Cala D’or S.L. are made solely in written form, either via email or as a PDF document.
19.3 Providing Translations
To enhance comprehensibility, the contract can be made available in a translated language version upon request (e.g., in German, English, Spanish, or other languages – depending on the customer's origin or language).
The translation may involve the use of automatic or external translation tools.
SAPOORI Cala D’or S.L. assumes no liability for content errors or discrepancies that may arise from these translations.
19.4 Binding Nature of the Language Version
Legally binding is only the language version in which the contract was explicitly concluded.
All other language versions serve solely for better comprehensibility and have no legal binding effect. In case of discrepancies between language versions, only the agreed contract language applies.
19.5 Conducting On-Site
Events on-site are conducted only in German or English. Conducting in Spanish is not planned but can be agreed upon in advance, for example for Spanish-speaking corporate events or private groups.
20. Behavior at Events and House Rules

SAPOORI GmbH expects respectful, responsible, and appropriate behavior from all participants during the event.
SAPOORI GmbH or persons commissioned by them (e.g., course management, security personnel, venue operators) reserves the right to exclude participants completely or partially in the following cases:
• excessive intoxication
• aggressive, offensive, or harassing behavior
• disruption of the course of the event
• disregard of instructions from staff
In such cases, there is no claim for a refund, replacement, or rescheduling of the event. The house rules lie with SAPOORI GmbH or any venues or persons they commission.
Note on nighttime peace:
SAPOORI GmbH holds events in their own premises generally only until a maximum of 24:00. The legally regulated nighttime peace after 22:00 will be adhered to through adjusted volume and scheduling.
If guests or the booking customer cause disturbances after 22:00 that lead to a disturbance of the peace, only the customer or the person causing it will bear full responsibility, including any possible fines, complaints, or liability claims. SAPOORI GmbH assumes no liability for this.

SAPOORI Cala D’or S.L. expects respectful, responsible, and appropriate behavior from all participants throughout the event.
SAPOORI Cala D’or S.L. as well as persons commissioned by them (e.g., course management, security personnel, or venue operators) expressly reserves the right to exclude participants completely or partially from the event if:
• there is excessive intoxication,
• aggressive, insulting, or harassing behavior is observed,
• the course of the event is disrupted,
• instructions from staff are disregarded.
In such cases, there is no claim for a refund, replacement service, or rescheduling of the event.
The house rules lie with SAPOORI Cala D’or S.L. or any venues or persons they commission.
For events in Spain, the applicable local safety and conduct regulations also apply, e.g., for noise protection, alcohol limits, and public order. SAPOORI Cala D’or S.L. reserves the right to adjust measures if required by official regulations.
Special note: Events in the premises of SAPOORI Cala D’or S.L. end no later than 24:00, as from that time legally regulated nighttime peace (according to the Balearic regulations) applies. Exceeding this time is not permissible for legal reasons.
If guests or the booking customer cause noise or other disturbances after 24:00 that violate the applicable nighttime peace, only the booking customer as the organizer will bear full responsibility and liability, including any possible fines, complaints, or damages towards third parties or authorities. SAPOORI Cala D’or S.L. assumes no liability for this.
21. Force Majeure / Unforeseeable Events

If an event cannot be conducted due to circumstances beyond the influence of SAPOORI GmbH, there is no claim for refund of the participation fee.
Force majeure or unforeseeable events include in particular:

• technical failures, power outages, traffic blockages
• official closures or danger situations (e.g., bomb defusals)
However, the following do not qualify as force majeure:
• illness, accidents, or personal hindrance of participants, guests, or the booker themselves
• schedule overlaps or mismanagement on the customer’s side
In these cases, there is no entitlement to reimbursement or rebooking, and the cancellation or rebooking regulations in points 6 and 7 apply.
21.1 Replacement in Case of Genuine Force Majeure
In the event of actual force majeure (as defined above), SAPOORI GmbH offers the following, if possible:
• a free replacement date, or
